1. About These Terms

These Terms and Conditions set out the legal terms that apply to your access to and use of the website operated by Saitell and to any B2B quotation, purchase, repair, refurbishment, recycling or buy-back transaction you enter into with us.

By using the website, requesting a quotation, opening a trade account or placing an order, you agree to be bound by these Terms.

These Terms apply to business customers only. Our products and services are not offered to consumers for personal, domestic or household use.

2. Trade Account Eligibility

• You represent that you are acting in the course of business and have authority to bind the entity on whose behalf you act
• Opening a trade account is subject to KYC, AML and sanctions screening
• We may refuse, suspend or terminate an account at our discretion where required for compliance or risk management
• You are responsible for maintaining your login credentials and all activity under your account

4. Quotations, Orders and Acceptance

• A quotation is an invitation to treat, not an offer. An order is your offer to buy. Our acceptance occurs only when we issue a written order confirmation or invoice
• Once accepted, orders are binding. Changes or cancellations require our written consent and may incur restocking charges
• We may require advance payment or deposit. We may reject any order for legitimate business or compliance reasons
• Stock is subject to prior sale. Quotations are given subject to availability at the time of acceptance

5. Pricing and Payment

• Prices are in the currency stated on our quotation or invoice and exclude shipping, insurance, customs duties and import taxes unless stated otherwise
• Payment is due as stated in our invoice. Accepted methods include bank transfer and any other methods approved in writing
• Time of payment is of the essence. We may withhold shipment until full payment clears
• You must pay all bank charges so that we receive the full invoiced amount

6. Delivery, Risk and Title

• Delivery terms are as stated in our order confirmation or invoice
• Title transfers only when we receive cleared payment in full for all amounts due
• Delivery dates are estimates. We are not liable for delay caused by events beyond our reasonable control including customs, carrier issues or supply disruptions

7. Returns and RMA

• Returns require a prior RMA number and must follow our packaging and data wiping instructions
• You must inspect the shipment promptly on delivery and notify us of any shortage, transit damage or non-conformity within two Business Days
• Returned items must include all accessories and be in the condition and grade supplied, save for the reported defect
• If no fault is found or the fault is excluded from warranty, we may charge testing, handling and return shipping fees
• Custom, special-order or As-Is items are non-returnable unless required by law or expressly agreed

8. Consignment Programme

• A 25% deposit is required to secure consignment stock
• Maximum 50 items per consignment batch
• All items must be sold or returned within 90 days
• 60% of the agreed trade price per item is payable to Saitell upon each confirmed sale
• Fast seller bonus: sell all items within 30 days to receive a 5% deposit credit on your next batch

9. Limitation of Liability

• Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence
• Our total aggregate liability is limited to the amount paid for the specific order giving rise to the claim
• We are not liable for indirect, incidental, special or consequential loss, loss of profit, revenue, data or goodwill

10. Compliance and Export

• You are responsible for compliance with all import, export, sanctions and destination-specific regulations
• You must not export or resell equipment to any embargoed destination, restricted party or prohibited end-use
• You must comply with product safety, labelling and electronic waste rules in your market

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the China Special Administrative Region. The parties will first attempt to resolve disputes by negotiation. If not resolved within 30 days, either party may refer to mediation and subsequently arbitration in China.

12. Changes to These Terms

We may update these Terms from time to time. The version in force at the time we accept your order governs that order. We will post changes on this page with an effective date.
